Terms of Service

These terms apply when you engage Codika for services. Every project also has its own written agreement signed by both parties, which takes precedence over these terms where they differ.
1. Who we are
Codika is operated by Codika SRL, a Belgian private limited company (SRL).

2. What we do
We design and build custom software for our clients: web and mobile applications, chatbots, AI assistants, automations, and the integrations between them. Our engagement structure is described on our site (discovery call, audit, build, optional operate).
3. How we work together
Discovery
The initial 30-minute call is free and creates no obligations for either side.
Audit
A paid engagement with a fixed scope and price defined in a written proposal. The audit fee is deducted from a subsequent build.
Build
The development engagement. Scope, price, timeline, and deliverables are defined in a written contract signed before work begins. We work iteratively with weekly check-ins.
Operate (optional)
Ongoing monitoring, maintenance, and updates under a separate agreement.
4. Ownership and intellectual property
After full payment, you own 100% of the software, configuration, and documentation we deliver specifically for your project. You receive source code and full access.
We retain ownership of:
- Our internal tools, libraries, methods, and templates
- Know-how and general learnings acquired during the engagement
- Pre-existing components we may integrate (we’ll always disclose them)
5. Payment
Prices are quoted in euros, excluding VAT where applicable. Payment terms and invoicing schedules are set in each project contract. Overdue invoices accrue legal interest under Belgian law.
6. Timelines
Timelines shown on our website and in proposals are best estimates based on the scope defined at that point. We flag scope or timeline changes as they arise, in writing, before they affect the budget.
7. Warranties and limits
We warrant that our work is performed with care and skill by qualified professionals. We do not guarantee specific commercial outcomes (revenue, number of users, etc.), because those depend on factors beyond the software itself.
Once the project is handed over and accepted, the software is provided “as is” unless a separate maintenance agreement is in place.
8. Liability
Our total liability for any claim arising out of or related to a project is limited to the total fees paid by you for that project during the 12 months preceding the claim.
We are not liable for indirect or consequential damages, including lost profits, loss of data, or business interruption, except where Belgian law prohibits such a limitation.
9. Confidentiality
We treat any non-public information you share with us as confidential, before, during, and after the engagement. We may mention that we worked with you in our portfolio, but only with your prior written consent.
10. Data protection
When we process personal data on your behalf during a project, a Data Processing Agreement (DPA) governs that processing. Our privacy practices for website visitors are described in our Privacy Policy.
11. Termination
Either party may terminate a project under the conditions defined in the project contract. In case of termination:
- You pay for work delivered up to that point
- We hand over what’s been built, in the condition it’s in
- Confidentiality obligations continue to apply
12. Governing law and courts
These terms are governed by Belgian law. Any dispute that cannot be resolved amicably will be brought before the competent courts of the judicial district of Walloon Brabant (Nivelles), where Codika SRL has its registered office.
